100% Purchase Price            8% or 7% or balance 10% to be paid upon signing Sale and

                                                                                                               Authority’s consent, whichever will be

                                                                                                               later (without title, with restriction of

                                                                                                               which SA consent is required 

                                                                                                               (e) Date of receipt of Memorandum of

                                                                                                               Transfer duly executed by Developer
